1. Introduction

Welcome to BeCEXY ("Platform," "we," "us," or "our"). BeCEXY is a community-driven project that aggregates traffic from Telegram Mini Apps and provides opportunities for community members to earn rewards by completing tasks and receiving tokens. These Terms and Conditions ("Terms") govern your access to and use of the BeCEXY platform, services, and any associated applications or websites.

By accessing or using BeCEXY, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Platform.

2. Acceptance of Terms

By creating an account, accessing the Platform, or using any of our services, you expressly agree to comply with and be legally bound by these Terms, as well as our Privacy Policy and any other policies referenced herein. These Terms constitute a legally binding agreement between you and BeCEXY.

Your continued use of the Platform following any amendments to these Terms constitutes your acceptance of such amendments.

3. Eligibility

To use BeCEXY, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction, whichever is greater;
• Have the legal capacity to enter into a binding agreement;
• Not be prohibited from accessing or using the Platform under applicable laws or regulations;
• Comply with all local, national, and international laws applicable to your use of the Platform.

By using BeCEXY, you represent and warrant that you meet all eligibility requirements. We reserve the right to refuse service, terminate accounts, or cancel access to anyone who does not meet these requirements or who violates these Terms.

4. Description of Services

BeCEXY is a stand-alone community project built by and for the community. The Platform is powered by resources earned through monetization efforts and provides the following services:

• Aggregation of traffic from Telegram Mini Apps;
• Task-based earning opportunities where users can complete activities and receive token rewards;
• Community engagement features and resources;
• Future launch of the $CEXY token, subject to applicable regulations and development roadmap.

BeCEXY operates as a community-driven initiative and is not a financial institution, investment platform, or registered securities exchange.

5. User Account and Registration

To access certain features of the Platform, you may be required to create an account. You agree to:

• Provide accurate, current, and complete information during registration;
• Maintain and promptly update your account information;
• Keep your account credentials confidential and secure;
• Accept responsibility for all activities that occur under your account;
• Notify us immediately of any unauthorized access or security breach.

You may not create multiple accounts, use another person's account without permission, or transfer your account to another party without our express written consent.

6. User Responsibilities and Conduct

As a user of BeCEXY, you agree to:

• Use the Platform only for lawful purposes and in accordance with these Terms;
• Not engage in any activity that disrupts, damages, or interferes with the Platform or its services;
• Not attempt to gain unauthorized access to any portion of the Platform, other user accounts, or computer systems;
• Not use automated tools, bots, scripts, or other means to access, scrape, or manipulate the Platform;
• Not impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity;
• Not transmit any viruses, malware, or other harmful code;
• Not engage in any form of market manipulation, fraud, or deceptive practices;
• Comply with all applicable laws, regulations, and third-party terms of service.

7. Prohibited Activities and Zero-Tolerance Policy

BeCEXY maintains a zero-tolerance policy regarding fraudulent, manipulative, or harmful behavior. The following activities are strictly prohibited:

• Fraud or Deception: Any fraudulent activity, including but not limited to creating fake accounts, providing false information, or engaging in deceptive practices to gain unauthorized rewards or tokens;
• Market Manipulation: Any attempt to manipulate the value, trading, or distribution of the $CEXY token or any other tokens on the Platform;
• Misleading Information: Spreading false, misleading, or unverified information about BeCEXY, the $CEXY token, or the Platform's operations;
• Price Predictions: Making unauthorized price predictions, guarantees, or investment advice regarding the $CEXY token or any other digital assets associated with BeCEXY;
• Harmful Behavior: Engaging in any activity that harms, defames, or damages the reputation of BeCEXY, its community members, or the $CEXY token;
• Spam and Abuse: Spamming, harassment, hate speech, or abusive behavior toward other users or community members.

Consequences: Violation of this section will result in immediate and permanent blocking from all official BeCEXY channels, platforms, and services, with no possibility of account restoration or appeal. We reserve the right to take additional legal action where appropriate.

8. Tokens and Rewards

BeCEXY provides users with opportunities to earn tokens through task completion and community participation. You acknowledge and agree that:

• Tokens earned on the Platform, including the future $CEXY token, are digital assets and may have no inherent monetary value;
• Token rewards are subject to availability, Platform policies, and completion of required tasks;
• BeCEXY reserves the right to modify, suspend, or terminate reward programs at any time without prior notice;
• The $CEXY token is planned for future launch and is subject to development, regulatory compliance, and market conditions;
• Token distribution, allocation, and utility are determined solely by BeCEXY and may change over time;
• Tokens are not investments, securities, or financial instruments unless explicitly stated and registered as such under applicable law.

You understand that digital assets carry inherent risks, including but not limited to volatility, loss of value, regulatory changes, and technological vulnerabilities.

9. Intellectual Property Rights

All content, features, functionality, designs, logos, trademarks, software, and materials available on the Platform ("Content") are the exclusive property of BeCEXY or its licensors and are protected by international copyright, trademark, patent, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for personal, non-commercial purposes only. You may not:

• Copy, reproduce, distribute, modify, or create derivative works from any Content without our express written permission;
• Use any Content for commercial purposes without authorization;
• Remove, alter, or obscure any copyright, trademark, or proprietary notices;
• Reverse engineer, decompile, or disassemble any software or technology used on the Platform.

10. Community-Driven Nature and Resources

BeCEXY is a community project built and sustained by its members. The Platform is powered by resources earned through monetization efforts, which are reinvested to support and grow the community. You acknowledge that:

• BeCEXY operates independently and is not affiliated with any centralized organization or entity;
• Platform development, maintenance, and operations depend on community participation and support;
• Community decisions may influence the direction and features of the Platform;
• BeCEXY strives for transparency but cannot guarantee specific outcomes or results.

11. Third-Party Services and Integrations

BeCEXY may integrate with or provide access to third-party services, including but not limited to Telegram Mini Apps, payment processors, and blockchain networks. You acknowledge that:

• Third-party services are governed by their own terms and conditions, which you must review and accept independently;
• BeCEXY is not responsible for the availability, accuracy, content, or functionality of third-party services;
• Your interactions with third parties are solely between you and the third party;
• BeCEXY does not endorse, warrant, or guarantee any third-party services.

12. Disclaimers

12.1 No Investment Advice

BeCEXY does not provide financial, investment, tax, or legal advice. Nothing on the Platform should be construed as a recommendation to buy, sell, or hold any digital assets or tokens. You are solely responsible for conducting your own research and making informed decisions.

12.2 No Guarantees

BeCEXY makes no representations or warranties regarding:

• The accuracy, completeness, or reliability of any information on the Platform;
• The availability, functionality, or security of the Platform;
• The value, utility, or future performance of any tokens, including the $CEXY token;
• Your ability to earn rewards or achieve specific outcomes.

12.3 "As Is" Basis

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

12.4 Regulatory Uncertainty

Digital assets and blockchain technology are subject to evolving regulatory frameworks worldwide. BeCEXY cannot guarantee compliance with future regulations, and changes in law may affect the Platform's operations, token functionality, or your ability to use the services.

13. Limitation of Liability

To the fullest extent permitted by applicable law, BeCEXY, its affiliates, directors, officers, employees, agents, and representatives shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages;
• Loss of profits, revenue, data, or use;
• Loss or damage to digital assets, tokens, or cryptocurrencies;
• Damages arising from unauthorized access, hacking, or security breaches;
• Damages resulting from errors, bugs, or interruptions in service;
• Damages caused by third-party services or user conduct.

14. Indemnification

You agree to indemnify, defend, and hold harmless BeCEXY, its affiliates, and their respective directors, officers, employees, agents, and representatives from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the Platform;
• Your violation of these Terms;
• Your violation of any applicable laws or regulations;
• Your violation of any third-party rights, including intellectual property or privacy rights;
• Any content or information you submit, post, or transmit through the Platform.

15. Privacy and Data Protection

Your privacy is important to us. Our collection, use, and protection of your personal information are governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Platform, you consent to our data practices as described in the Privacy Policy.

16. Termination and Suspension

BeCEXY reserves the right to suspend, terminate, or restrict your access to the Platform at any time, with or without notice, for any reason, including but not limited to:

• Violation of these Terms;
• Engaging in prohibited activities;
• Fraudulent or harmful behavior;
• Legal or regulatory requirements;
• Protection of the Platform or community.

Upon termination, your right to access and use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect, including but not limited to intellectual property rights, disclaimers, limitations of liability, and indemnification obligations.

17. Amendments and Updates

BeCEXY reserves the right to modify, update, or replace these Terms at any time at our sole discretion. We will provide notice of material changes by:

• Posting the updated Terms on the Platform with a new "Last Updated" date;
• Sending notifications through the Platform or via email (if applicable);
• Providing reasonable notice before changes take effect.

Your continued use of the Platform following the posting of updated Terms constitutes your acceptance of such changes. We encourage you to review these Terms periodically to stay informed of any updates.

18. Governing Law and Jurisdiction

These Terms and your use of the Platform shall be governed by and construed in accordance with the BVI, without regard to its conflict of law provisions.

Any disputes, claims, or controversies arising out of or relating to these Terms or the Platform shall be resolved through binding arbitration in accordance with the rules of the class-wide Arbitration Organization, or, if arbitration is not enforceable, through the exclusive jurisdiction of the courts located in BVI.

You waive any right to participate in class actions or class-wide arbitration.

19. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if such modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

20. Entire Agreement

These Terms, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and BeCEXY regarding your use of the Platform and supersede all prior or contemporaneous understandings, agreements, representations, and warranties, whether written or oral.

21. No Waiver

The failure of BeCEXY to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by an authorized representative of BeCEXY.

22. Assignment

You may not assign, transfer, or delegate your rights or obligations under these Terms without our prior written consent. BeCEXY may assign, transfer, or delegate its rights and obligations under these Terms without restriction.

23. Force Majeure

BeCEXY shall not be liable for any failure or delay in performing its obligations under these Terms due to circumstances beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, governmental actions, internet outages, or technical failures.
